Wilson Logistics, Inc., Clark, NJ, as agent for the Government of The Republic of
Serbia (GROS), requests offers of US and Non US Flag vessels to transport the
following cargo under the Food For Progress Act.

IFB No. Serb-FFP-02-054 Tender Date: October 31, 2002

1} Cargo: Approximately 20,000 Metric Tons Bulk Soybean Meal
Offeror encouraged to offer vessel to carry a wide range of tonnage to accommodate program needs. Contracted quantity will be min/max basis.

Lay Can: December 2 / December 12, 2002

Any additional completion cargo must be duly separated, must be compatible and 
non injurious to the FFP soybean meal cargo, must be detailed in offer or 
approved by charterers and USDA if contracted after fixture of GROSs Food For Progress Soybean meal cargo. Vessels itinerary and geographic proximity of completion cargo will be taken into consideration by charterer/USDA in approval of such part cargo in order not to unduly impede delivery of GROS cargo to FR of Serbia.

Offers received with laydays beyond canceling date will not be considered.
Offers of named vessels only: no vessel substitution is permitted without charterer's &
USDA's approval.

Owners guarantee that this vessel complies fully with the International Safety
Management (ISM) Code, if required, and is in possession of a valid document of
compliance and safety management certificate and will remain so for the entirety of
her employment under this charter party or booking note. Owners are to provide 
charterers with satisfactory evidence of compliance if required to do so and to remain
fully responsible for any and all consequences resulting directly or indirectly from any
matters arising in connection with this vessel and the ISM Code.

Section 408 of the Coast Guard Authorization Act of 1998, Public Law 105﷓383
(46 U.S.C., paragraph 2302 (E), establishes effective January 1, 1999, with respect
to Non-U.S. flag vessels and operators/owners, that substandard vessels and vessels operated by operators of substandard vessels are prohibited from the carriage of 

Government impelled (preference) cargo for up to one year after such substandard determination has been published electronically. As the cargo advertised in this RFP is a government impelled (Preference) cargo, offeror must warrant that vessel(s) and owner / operators are not disqualified to carry such cargo.

Owners to provide fourteen (14) day preadvice of vessel readiness to load. Preadvice
notice must be received at the office of Wilson Logistics, Inc., Clark, NJ prior to
11:00 AM New York Time on regular business day to be considered received on that
day. If preadvice is received later than 11:00 AM NY time on regular business day or
on weekends / holidays, preadvice notice will be considered received only on next
business day.

2} Load port(s) safe berth(s) each, safe US Ports
(Mississippi River including but not north of Port Allen to be considered as one 
port / Columbia River District including Portland to be considered as one port / 
San Francisco Bay area including Sacramento and Stockton to be considered as
one port. For offers basis U.S. Great Lakes utilizing feeder vessels, offer is to include
name and description of feeder vessels.

3} Discharge Port / Final Destination Points:
Under through Bills of Lading to initial point (s) of discharge in Federal Republic of Serbia as listed below via Constanza Romania. Cargo is to be trans-loaded into barges at Constanza Romania for transshipment up the Danube River to the river ports of Panchevo and Novi Sad.

All at Owners time, risk and expense with exact quantities for each initial point of discharge to be determined prior to sailing.

The Federal Republic of Serbia, as receivers of this cargo, will take delivery in rail cars, barges, or trucks at the above points of discharge and discharge the cargo at the
receivers time, risk, and expense.


4} Owners to be fully responsible for vessels acceptance into port of discharge. Owners should independently obtain information regarding port restrictions and any special requirements of the port authorities.

Vessels that are not accepted into the discharge port and or berth by the port authorities, for any reason, are responsible for full or partial lightening into bulk carriers, sufficient enough to satisfy port authorities, at owners time, risk and expense.

5} Loading Terms: the cargo is to be loaded according to berth terms with customary
dispatch at the average rate as delineated below based on vessel's contract
quantity. The rates are basis tons of 2,204.6 pounds per weather working day of 24
consecutive hours, Sundays and Holidays excepted, even if used. Saturdays per 
BFC Saturday clause.

Tween deckers / Multideckers (including liners): the load guarantee shall be 3,000 mt per day. 

Lash Barges: the load guarantee shall not apply

Cargo to be loaded, stowed and trimmed at the Owners expense.

Vessel type restrictions: { For Ocean Transit} Tankers and towed barges are excluded: push mode integrated tug barge units will be considered.

6} Demurrage / Dispatch at Load Ports only: Offers are to specify a demurrage / dispatch rate for load port only. Dispatch is to be one-half the demurrage rate.

Laytime accounts are to be settled directly between owners and commodity supplier(s) at load port (s) . Laytime calculation, overtime and trimming to be in accordance to addendum no. 1 of the North American Export Grain Association, Inc., FOB Contract 

No. 2 (Revised as of August 1, 1988) Clauses Nos. 1-10 inclusive (Hereinafter N.A.E.G.A.) regardless of type of vessel. Further the following modifications to NAEGA will apply: Anywhere the word Buyer appears, the words Vessel Owner should be substituted in its place. Under no circumstances shall charterer or USDA/CCC be responsible for resolving disputes involving the calculation of laytime or the payment of demurrage or dispatch between the vessel owners and the commodity suppliers). Any/All disputes between vessel owners and the commodity supplier(s) arising out of this contract relating to the settlement of laytime issues shall be arbitrated in New York subject to the rules of the Society of Maritime Arbitrators, Inc.

7} Discharging Terms:
Berth terms, all inclusive, under through Bill of Lading to the initial point(s) of discharge in FR Serbia as described in Section 3 above. No demurrage, dispatch or detention charges at discharge port or on rail cars at initial point (s) of discharge in FR
Serbia.

8} Successful offeror is to provide name of inland contractor prior to USDAs final
approval of fixture. Only named inland contractor is acceptable.

9} Offers to provide separate rates for the following (no other additional charges may be quoted in the offer). Offers with premiums for additional load / discharge berths will not be considered.

a) Ocean transportation excluding bulk discharge. Freight rate to be quoted per metric ton basis one load port to one discharge port with quotation of additional
freight, if any, for additional load port (s) if used.

b) Bulk Discharge Cost:

c) Inland Transportation per metric ton by rail or barge to the points of discharge in F R Serbia 
as described per metric ton as described in Section 3 above.

d) Lightening costs (if applicable). If owners intend to lighten, cost of lightening to be stipulated in offer whether partial or full lightening. In the event that lightening is not performed at the discharge port and vessel directly discharges at berth said lightening cost shall be deducted by USDA from ocean freight.


10} For U.S. non-liner vessels whose year of original construction exceeds 15 years from year of fixture, one-way rates must be quoted in addition to round trip rates.

11} non vessel operating common carriers (NVOCC) may not be employed to carry
U.S. Flag or Foreign Flag Shipments.

12} At the discharge point and upon inspection by Government Inspectors, if cargo and or vessel is found to be infested and provided clean bills of lading were issued, owners will arrange for the cargo to be fumigated within 24 hours of discovery of such infestation. Fumigation costs, if any, are for owners (vessels) account, time counting on U.S. Flag vessels and not counting on non us flag vessels.

13} Foreign flag vessels must not be older than 20 years and must be classed highest in Lloyds Register or its equivalent. Year of original construction, not rebuilt year, to govern. Any extra insurance on account of vessels age, flag, ownership, type, configuration, classification will be fore owners account, but not exceeding New York Market rates.

14} Vessels 15 years and older, towed barges and push-mode ITB units must have all openings to cargo spaces and hatches covers tightly sealed with tape or by other means to assure water tight integrity. The sealing shall be done to the satisfaction of attending NCB Surveyor as attested by a special survey. Cost of sealing hatch covers/openings to cargo spaces as well as special survey fees shall be for vessel owners account. Special survey certificate shall in no way diminish owners liability and responsibilities toward the cargo.

15} U.S. Flag approved rates will be reduced to a level no higher than the Maritime Administration Fair and Reasonable rate in the event that approved vessel is substituted by a lower cost vessel to the U.S. Government (including tug and / or barge).

16} For U.S. flag vessels loading less than a full cargo, the less than full cargo freight rate will be subject to a reduction to meet any revised Maritime Administration freight rate guideline due to vessel loading other additional cargo.

17} U.S. flag offers will not be considered if the vessel operator has not provided the Maritime Administration with the vessels costs prior to submission of offer.



18} The Government of Federal Republic of Serbia or its agent reserves the right to accept or reject offers. 

Offers to be received by 11:00 Hrs New York Time Tuesday, November 5, 2002 at the offices of Wilson Logistics, Inc., 700 Terminal Avenue, Clark NJ 07066 by sealed hand delivered letter, or fax (732-669-0513). Only Sealed Hand delivered or fax offers received prior to tender closing time will be accepted or considered. Fax offers which start printing before deadline and continue to print past the deadline will be considered as being received on time. No phone offers will be accepted. Offers will be opened and read in public at that place and time. Only offers which are responsive to this IFB will be considered and no negotiation is permitted. U.S. Flag offers subject open will only be considered when the Subject Open restriction is lifted prior to 16:00 hrs New York time Wednesday, November 6, 2002. No offers of non US flag vessels with Subject Open restriction will be considered.

Offers to remain valid until 17:00 Hours New York Time Friday, November 8, 2002.

Otherwise, Government of GROS bulk soybean meal charter party proforma (vessel load/Berth terms discharge) applicable to The Food For Progress (October 2002). 

Offerors are encouraged to provide the following information: Vessel name / type / 
flag /year built / LOA / Beam / DWT / Draft / Gear / ETA at load and discharge port / full style of owner.

Copies of the GROSs charter party proforma are available upon request to Wilson Logistics, Inc.

Commission: 2.5 pct on freight / dead freight to charters agent if offered direct: If broker involved 2/3 of 2.5 pct to charterers agents and 1/3 of 2.5 pct to broker.
