GEORGIA ANNOUNCE A FREIGHT TENDER, UNDER THE FOOD FOR PROGRESS PROGRAM, FOR
U.S. FLAG AND NON U.S. FLAG VESSELS (OCEAN GOING TOWED BARGES ARE EXCLUDED)
AS FOLLOWS:
1. COMMODITY/QUANTITY: APPROX. 50,000 MT WHEAT IN BULK.
OFFERORS SHOULD CONSIDER OFFERING VESSELS TO CARRY A RANGE OF TONNAGES IN
THE EVENT THAT THE QUANTITY PURCHASED IS MORE OR LESS THAN THE QUANTITY
STATED IN THIS TENDER.
-CONTRACTED QUANTITY TO BE ON A MIN/MAX BASIS.
ANY ADDITIONAL COMPLETION CARGOES MUST BE DULY SEPARATED AND MUST BE
COMPATIBLE AND NON-INJURIOUS TO GEORGIAS FFP CARGO AND MUST BE DETAILED IN
OFFER OR APPROVED BY CHARTERERS/USDA IF CONTRACTED AFTER FIXTURE OF GEORGIA
S FFP CARGO. VESSEL'S ITINERARY AND GEOGRAPHIC PROXIMITY OF COMPLETION
CARGO(ES) WILL BE TAKEN INTO CONSIDERATION BY CHARTERERS/USDA IN APPROVAL OF
SUCH PART CARGO(ES) IN ORDER NOT TO UNDULY IMPEDE DELIVERY OF CARGO TO
GEORGIA.
2. LAYDAYS: JULY 15-26, 2004
DUE TO URGENT NEED FOR CARGO IN GEORGIA, ALL OFFERS MUST STATE VESSELS
CURRENT POSITION AND ITINERARY WITH ETA BASIS U.S. GULF AND DISCHARGE PORT.
SUCCESFUL BIDDERS ARE TO PROVIDE A PERFORMANCE BOND, IN THE FORM OF A LETTER
OF CREDIT OR CERTIFIED CHECK, IN FAVOR OF CHARTERERS, WITHIN FIVE DAYS OF
FIXTURE AND IN THE AMOUNT OF TEN PERCENT OF THE GROSS FREIGHT. SAID LETTER
OF CREDIT TO BE VALID FOR THIRTY DAYS BEYOND THE CANCELING DATE OF THE
RELEVANT CHARTER PARTY. HOWEVER, THE GOVERNMENT OF GEORGIA WILL RELEASE
SAID BOND UPON VESSELS PRESENTATION FOR LOADING WITHIN THE CONTRACTED
LAYDAYS AND AFTER COMPLETION OF LOADING OF THE CARGO PER THE CHARTER PARTY.
THE LETTER OF CREDIT SHALL BE COLLECTIBLE AT SIGHT ACCOMPANIED BY A
STATEMENT FROM THE BENEFICIARY THAT THE SHIPOWNER DID NOT PERFORM IN
ACCORDANCE WITH THE TERMS AND CONDITIONS OF THE CHARTER PARTY. UNDER NO
CIRCUMSTANCES IS THE PERFORMANCE BOND TO BE CONSIDERED AS THE MAXIMUM
LIABILITY OR LIQUIDATION OF THE DAMAGES OCCURRING DUE TO THE NONPERFORMANCE
OF THE SHIPOWNER.
OFFERS OF NAMED VESSELS ONLY WILL BE CONSIDERED. OWNERS WILL NOT HAVE THE
RIGHT TO SUBSTITUTE WITHOUT CHARTERERS AND USDA APPROVAL.

CONSTRUCTION, NOT REBUILT DATE, TO GOVERN. ANY EXTRA INSURANCE ON ACCOUNT OF
VESSEL'S AGE, CLASS, TYPE, FLAG, OWNERSHIP OR CONFIGURATION WILL BE FOR
OWNERS ACCOUNT, BUT NOT EXCEEDING NEW YORK MARKET RATES FOR U. S. FLAG
VESSELS AND LONDON MARKET RATES FOR NON U.S. FLAG VESSELS.
VESSEL TO PROVIDE A MINIMUM (14) DAYS PRE-ADVICE OF VESSELS' READINESS TO
LOAD. PRE-ADVICE MUST BE RECEIVED BY FETTIG & DONALTY BY LATEST 11:00 HRS.
WASHINGTON, D.C., TIME ON A REGULAR BUSINESS DAY TO BE CONSIDERED RECEIVED
ON THE SAME DAY. PRE-ADVICE RECEIVED AFTER 11 A.M. WASHINGTON D.C. TIME ON A

5. VESSEL MUST BE ABLE TO BE FUMIGATED WITH AN ALUMINUM PHOSPHIDE
PREPARATION IN-TRANSIT IN ACCORDANCE WITH THE USDA/FGIS FUMIGATION HANDBOOK
AND VESSELS THAT CANNOT BE SO FUMIGATED WILL NOT BE CONSIDERED. AT FINAL
LOADING PORT, COMMODITY SUPPLIER WILL ARRANGE AND PAY FOR IN-TRANSIT
FUMIGATION PERFORMED BY A CERTIFIED APPLICATOR IN ACCORDANCE WITH THE USDA,
FGIS FUMIGATION HANDBOOK. FUMIGATION MUST BE WITNESSED BY FGIS, USDA, AND
THE ALUMINUM PHOSPHIDE PREPARATION MUST BE CONTAINED IN PACKAGING AS
DESCRIBED IN THE FUMIGATION HANDBOOK. DUST RETAINERS MUST BE USED. FOR
TWEENDECKERS AND BULK CARRIERS (INCLUDING PUSH-MODE ITB), THE RECIRCULATION
METHOD OF FUMIGATION WILL BE USED.
TWEEN-DECK VESSELS WILL BE CONSIDERED PROVIDED THEY ARE ACCEPTABLE FOR
IN-TRANSIT FUMIGATION IN ACCORDANCE WITH FGIS FUMIGATION HANDBOOK. OFFERS OF
SUCH TWEEN-DECK VESSELS MUST BE ACCOMPANIED BY A COPY OF A LETTER FROM FGIS,
USDA, STATING THAT THE VESSEL CAN BE FUMIGATED UNDER THE FGIS IN-TRANSIT
FUMIGATION PROCEDURES.
AT THE DISCHARGE PORT AND UPON INSPECTION BY GOVERNMENT INSPECTORS, IF CARGO
AND/OR VESSEL IS FOUND TO BE INFESTED AND PROVIDED CLEAN BILL(S) OF LADING
WERE ISSUED, OWNERS WILL ARRANGE FOR THE CARGO TO BE FUMIGATED WITHIN 24

IS ONLY PERMITTED IF VESSEL CANNOT MEET PORT VESSEL/DRAFT/LOA RETRICTIONS

DRAFT/LOA RESTRICTIONS. IN CASE OF PARTIAL LIGHTENING, AFTER COMPLETION OF
LIGHTENING OPERATION AND ARRIVAL AT PORT OF DISCHARGE IN GEORGIA, MOTHER
VESSEL MAY TENDER ITS NOTICE OF READINESS TO DISCHARGE TO
CHARTERERS/RECEIVERS OR THEIR AGENTS DURING REGULAR BUSINESS HOURS, AT OR
BEFORE 4 PM ON WEEKDAYS, MONDAY THROUGH FRIDAY, OR AT OR BEFORE 12 NOON ON

OR AT OR BEFORE 12 NOON ON SATURDAY, AND LAYTIME SHALL COMMENCE AT 0800
HOURS THE NEXT BUSINESS DAY. PRIOR TIME USED IS NOT TO COUNT AS LAYTIME
USED. IF MORE THAN ONE DAUGHTER VESSEL DAUGHTER VESSEL IS USED, LAYTIME NOT
TO COUNT ON A DAUGHTER VESSEL WAITING FOR DISCHARGE BERTH WHILE ANOTHER
DAUGHTER VESSEL IS OCCUPYING THE DISCHARGE BERTH. LAYTIME SHALL
(RE)COMMENCE ON THE DAUGHTER VESSEL AWAITING DISCHARGE BERTH ONCE THE
DAUGHTER VESSEL AT THE DISCHARGE BERTH HAS DEPARTED.
8. FREIGHT RATE: TO BE QUOTED PER METRIC TON VESSEL LOAD/FREE DISCHARGE
BASIS ONE LOADPORT TO ONE DISCHARGE PORT. ADDITIONAL FREIGHT PER MT ON
ENTIRE CARGO FOR EACH ADDITIONAL LOAD AND/OR DISCHARGE PORT, IF USED, TO BE
STATED SEPARATELY. IF OWNER INTENDS TO LIGHTEN, THE OFFER SHOULD SPECIFY THE
COST OF LIGHTENING, WHETHER PARTIAL OR FULL LIGHTENING. IF INTENDED
LIGHTENING IS NOT PERFORMED AT DISCHARGE PORT AND VESSEL DISCHARGES DIRECTLY
AT BERTH, USDA WILL DEDUCT COST OF LIGHTENING FROM OCEAN FREIGHT.
FREIGHT PAYMENT:
9. 100% PAYABLE IN ACCORDANCE WITH CHARTER PARTY TERMS AFTER VESSEL'S

DESPATCH AT THE AVERAGE RATE AS DELINEATED BELOW ON VESSEL'S CONTRACTED
QUANTITY. THE RATES ARE BASIS TONS OF 2204.6 POUNDS PER WEATHER WORKING DAY
OF 24 CONSECUTIVE HOURS, SUNDAYS AND HOLIDAYS EXCEPTED, EVEN IF USED.
SATURDAYS AS PER BFC SATURDAY CLAUSE. ANY STOWING AND/OR TRIMMING TO BE FOR
OWNERS ACCOUNT.

VESSEL. FURTHER THE FOLLOWING MODIFICATIONS TO N.A.E.G.A. WILL APPLY:
ANYWHERE THE WORD "BUYER" APPEARS, THE WORDS "VESSEL OWNER" SHOULD BE
SUBSTITUTED IN ITS PLACE. UNDER NO CIRCUMSTANCES SHALL CCC OR CHARTERERS BE
RESPONSIBLE FOR RESOLVING DISPUTES INVOLVING THE CALCULATION OF LAYTIME OR
THE PAYMENT OF DEMURRAGE OR DESPATCH BETWEEN THE VESSEL OWNERS AND THE
COMMODITY SUPPLIER(S). ANY/ALL DISPUTES BETWEEN VESSEL OWNERS AND THE

SETTLEMENT OF LAYTIME ISSUES SHALL BE ARBITRATED IN NEW YORK SUBJECT TO THE

11. DISCHARGE TERMS: CARGO IS TO BE DISCHARGED, FREE OF RISK AND EXPENSE TO
THE VESSEL, AT THE AVERAGE RATE OF 3,500 MT OF 2,204.6 POUNDS FOR BULK
CARRIERS AND AT THE AVERAGE RATE OF 2,000 MT OF 2,204.6 POUNDS FOR TANKERS
AND AT THE AVERAGE RATE OF 1,500 MT OF 2,204.6 POUNDS FOR TWEENDECKERS, PER
WEATHER WORKING DAY OF 24 CONSECUTIVE HOURS WITH SATURDAYS, SUNDAYS, CHARTER
PARTY HOLIDAYS AND HOLIDAYS EXCEPTED, EVEN IF USED (WWDSHEX EIU).
LASH/SEABEE BARGES: THE DISCHARGE GUARANTEE SHALL NOT APPLY.
- CHARTERER/RECEIVERS TO APPOINT AND PAY STEVEDORES AT PORTS OF DISCHARGE.
- OWNERS TO SPECIFY DEM/DES RATES AT LOAD AND DISCHARGE PORT IN OFFER.
DESPATCH RATES MUST BE ONE-HALF OF DEMURRAGE RATES QUOTED. LAYTIME IS
NON-REVERSIBLE.
- NOTICE OF READINESS IN WRITING SHALL BE DELIVERED AT THE OFFICE OF THE
RECEIVER/HIS AGENTS DURING REGULAR BUSINESS HOURS AT OR BEFORE 4 PM MONDAY
THROUGH FRIDAY OR AT OR BEFORE 12 NOON ON SATURDAYS.
- LAYTIME TO COMMENCE AT 0800 HOURS THE NEXT WORKING DAY AFTER NOR IS
TENDERED. PRIOR TIME USED BEFORE COMMENCEMENT OF THE LAYTIME NOT TO COUNT.
VESSEL GEAR REQUIREMENTS:
VESSELS MUST BE CAPABLE OF SELF-DISCHARGE WITH VESSEL'S ONBOARD GEAR OR
SHORESIDE GEAR SUPPLIED BY OWNER (CRANES AND/OR SWINGING DERRICKS WITH
MINIMUM 8 MT S.W.L. CAPACITY SUITABLE FOR CLAMSHELL DISCHARGE AND INCLUDING
PROVISION OF CLAMSHELL) AND/OR WITH VACUVATORS INCLUDING ALL NECESSARY
VACUVATOR PIPES AND SUPPORTS FOR PIPES AND/OR WITH MARINE LEGS INCLUDING ALL
NECESSARY SUPPORT EQUIPMENT. OWNERS TO PROVIDE AT THEIR EXPENSE ALL
NECESSARY MOTIVE POWER/FUEL TO OPERATE ALL DISCHARGE GEAR AND/OR VACUVATORS
AS WELL AS TECHNICIANS IN THE CASE OF VACUVATORS AND MARINE LEGS TO OVERSEE
THEIR OPERATION. DISCHARGE GEAR PROVIDED BY OWNER/VESSEL MUST BE CAPABLE OF
MAINTAINING THE GUARANTEED AVERAGE DISCHARGE RATE AS SPECIFIED ABOVE IN
DISCHARGING TERMS CLAUSE. ANY TIME LOST AS A RESULT OF BREAKDOWN OF VESSEL'S
GEAR AND/OR VACUVATORS AND/OR MARINE LEGS TO BE EXCLUDED FROM LAYTIME USED.
VESSELS ARE TO BE FULLY EQUIPPED WITH DISCHARGE GEAR / EQUIPMENT PRIOR TO
CHARTERER'S / RECEIVER'S ACCEPTANCE OF THE NOTICE OF READINESS TO DISCHARGE.
OPENING AND CLOSING OF HATCHES TO BE CARRIED OUT BY VESSEL'S CREW FREE OF
CHARGE TO CHARTERERS. MECHANICAL OR HYDRAULIC HATCH COVERS FOR VESSELS OR
RAIN TENTS FOR ALL HATCHES ARE REQUIRED.
12. OWNER'S TO APPOINT AND PAY FOR THE CHARTERERS NOMINATED AGENT AT
DISCHARGE PORT PROVIDED THE FEE IS COMPETITIVE AND CUSTOMARY FOR THE PORT.
13. VESSELS OVER 15 YEARS OF AGE AND ITB'S TO PROVIDE ADDITIONAL
CERTIFICATES FROM NCB CERTIFYING THAT VESSEL HATCH COVERS AND ANY OTHER
OPENING LEADING TO CARGO COMPARTMENTS HAVE BEEN SEALED TO PREVENT ANY
OUTSIDE WATER FROM ENTERING THE CARGO COMPARTMENTS.
OFFERS OF THE U.S. FLAG VESSELS WILL NOT BE CONSIDERED IF THE VESSEL
OPERATOR HAS NOT PROVIDED THE MARITIME ADMINISTRATION WITH THE VESSEL'S
COSTS PRIOR TO SUBMISSION OF THE OFFER.
U. S. FLAG VESSELS OFFERED SUBJECT TO MARAD APPROVAL WILL NOT BE CONSIDERED.
IF MARAD APPROVAL OF VESSEL IS REQUIRED, SAME MUST BE OBTAINED PRIOR TO
SUBMISSION OF OFFER.
U.S. FLAG APPROVED FREIGHT RATES WILL BE REDUCED TO A LEVEL NO HIGHER THAN
THE U.S. MARITIME ADMINISTRATION FAIR AND REASONABLE RATE IN THE EVENT THAT
THE ORIGINAL APPROVED VESSEL (INCLUDING ITB'S) IS SUBSTITUTED BY A LOWER
COST VESSEL TO THE U.S. GOVERNMENT.
FOR U.S. FLAG VESSELS LOADING LESS THAN A FULL CARGO, THE LESS THAN FULL

NON VESSEL OPERATING COMMON CARRIERS (NVOCC) MAY NOT BE EMPLOYED TO CARRY U.
S. OR FOREIGN FLAG SHIPMENTS.
U.S. FLAG NON-LINER VESSELS OVER 15 YEARS OLD MUST OFFER AN ALTERNATE
FREIGHT RATE TO BE APPLICABLE IN THE EVENT THE VESSEL IS EITHER SCRAPPED OR
VESSEL OWNERSHIP IS TRANSFERRED TO ANOTHER OWNER AFTER DISCHARGE AT
DESTINATION, BUT PRIOR TO ITS RETURN TO THE UNITED STATES.
-OFFERORS ARE ENCOURAGED TO PROVIDE USUAL INFORMATION SUCH AS:
NAME OF OWNERS/OPERATORS, FLAG, YEAR BUILT, TYPE, LOA, BEAM, FULLY LOADED
DRAFT, GEAR, SPEED AND NO. OF HOLDS/HATCHES.
14. OWNER GUARANTEES THAT THIS VESSEL COMPLIES FULLY WITH THE
INTERNATIONAL SAFETY MANAGEMENT (ISM) CODE, IF REQUIRED, AND IS IN
POSSESSION OF A VALID DOCUMENT OF COMPLIANCE AND SAFETY MANAGEMENT
CERTIFICATE AND WILL REMAIN SO FOR THE ENTIRETY OF HER EMPLOYMENT UNDER THIS
CHARTER PARTY. OWNERS ARE TO PROVIDE CHARTERERS WITH SATISFACTORY EVIDENCE
OF COMPLIANCE IF REQUIRED TO DO SO AND TO REMAIN FULLY RESPONSIBLE FOR ANY
AND ALL CONSEQUENCES RESULTING DIRECTLY OR INDIRECTLY FROM ANY MATTER
ARISING IN CONNECTION WITH THIS VESSEL AND THE ISM CODE.
15. SECTION 408 OF THE U.S. COAST GUARD AUTHORIZATION ACT OF 1998, PUBLIC
LAW 105-383 (46 U.S.C. SECTION 3202 (E)) ESTABLISHES, EFFECTIVE JANUARY 1,
1999, WITH RESPECT TO NON-U.S. FLAG VESSELS AND OPERATORS/OWNERS, THAT
SUBSTANDARD VESSELS AND VESSELS OPERATED BY OPERATORS OF SUBSTANDARD VESSELS
ARE PROHIBITED FROM THE CARRIAGE OF GOVERNMENT IMPELLED (PREFERENCE)
CARGO(ES) FOR UP TO ONE YEAR AFTER SUCH SUBSTANDARD DETERMINATION HAS BEEN
PUBLISHED ELECTRONICALLY. AS THIS MAY BE PREFERENCE CARGO, OWNERS HEREBY
WARRANT THAT VESSEL(S) ARE NOT DISQUALIFIED TO CARRY THIS CARGO.
16. ISPS CLAUSE:
(A) (i) From the date of coming into force of the International Code for
the Security of Ships and of Port Facilities and the relevant amendments to
Chapter XI of SOLAS (ISPS Code) in relation to the Vessel, the Owners shall
procure that both the Vessel and "the Company" (as defined by the ISPS Code)
shall comply with the requirements of the ISPS Code relating to the Vessel
and "the Company". Upon request the Owners shall provide a copy of the
relevant International Ship Security Certificate (or the Interim
International Ship Security Certificate) to the Charterers. The Owners shall
provide the Charterers with the full style contact details of the Company
Security Officer (CSO).
(ii) Except as otherwise provided in this Charter Party, loss, damage,
expense or delay, excluding consequential loss, caused by failure on the
part of the Owners or "the Company" to comply with the requirements of the
ISPS Code or this Clause shall be for the Owners' account.
(B) Owner to specify any information required from Charterers in order to
comply with ISPS at time vessel tenders pre-advice notice for this cargo.
The Charterers shall provide the CSO and the Ship Security Officer
(SSO)/Master with their full style contact details and any other information
the Owners require to comply with the ISPS Code.
(C) Notwithstanding anything to the contrary provided in this Charter
Party, any additional costs or expenses whatsoever solely arising out of or
related to security regulations or measures required by the port facility or
any relevant authority in accordance with the ISPS Code including, but not
limited to, security guards, launch services, tug escorts, port security
fees or taxes and inspections, shall be for the Owners account. All
measures required by the Owners to comply with the Ship Security Plan shall
be for the Owners' account.
FOR NON-U.S. FLAG OFFERS, ONLY FIRM OFFERS WILL BE CONSIDERED. FOR U.S. FLAG
OFFERS THAT ARE SUBJECT OPEN, THE SUBJECT OPEN MUST BE LIFTED BY 1100
HRS JUNE 30, 2004
COMMISSION - 2.5 PCT ON FREIGHT/DEADFREIGHT TO CHARTERERS AGENT, IF OFFERED
DIRECT. IF BROKER INVOLVED, 2/3 OF 2.5% TO CHARTERERS AGENT AND 1/3 OF 2.5%
TO BROKER.
THE CHARTERER RESERVES THE RIGHT TO ACCEPT OR REJECT OFFERS.
ONLY OFFERS IN WRITING WILL BE ACCEPTED. PHONE OFFERS WILL NOT BE
CONSIDERED. OFFERS MUST BE RECEIVED PRIOR TO TENDER CLOSING TIME. LATE
OFFERS WILL NOT BE CONSIDERED. OFFERS MUST BE SUBMITTED BY LETTER OR TELEFAX
