VESSEL OWNER SHALL SUPPLY A QUANTITY OF NEEDLES AND TWINE ESTIMATED TO BE SUFFICIENT FOR USE IN BAGGING THE MAXIMUM AWARDED TONNAGE OF CARGO. VESSEL OWNER SHALL BE SOLELY RESPONSIBLE TO ENSURE THAT SUFFICIENT NEEDLES AND TWINE ARE AVAILABLE FOR SATISFACTORY COMPLETION OF BAGGING OPERATIONS AT EACH AND EVERY DISCHARGE PORT. THE TWINE USED FOR CLOSING THE BAGS MUST BE HIGH-SPEED SEWING MACHINE TWINE OF FIRST QUALITY COTTON/POLYESTER OR POLYESTER, AND MUST HAVE TENSILE STRENGTH EXCEEDING 9.75 LBS.

THE BULK WHEAT CARGO IS TO BE BAGGED AT DISCHARGE (TRANSIT) PORT AT OWNER’S TIME, RISK AND EXPENSE. AFTER BAGGING, CARGO IS TO BE DELIVERED TO THE DOOR OF RECEIVERS’ WAREHOUSE(S) IN ADDIS ABABA, ETHIOPIA AT OWNER’S TIME, RISK AND EXPENSE. RECEIVERS ARE RESPONSIBLE FOR UNLOADING THE BAGGED CARGO FROM OWNERS’ CONVEYANCES AND PLACING IT INTO RECEIVERS’ WAREHOUSE(S).  IF OWNER WILL USE CONVEYANCES OTHER THAN TRUCKS FOR DELIVERY OF THE BAGGED WHEAT TO RECEIVERS’ WAREHOUSE(S), THEN TYPE OF CONVEYANCE SHOULD BE SPECIFIED IN THE OFFER. OWNER IS TO ADVISE CHARTERER OF THE NAME OF THEIR INLAND TRANSPORTATION CONTRACTOR PRIOR TO LIFTING SUBJECTS ON THE FREIGHT FIXTURE.

OWNER IS TO ADVISE CHARTERER OF THE METHOD OF BAGGING (HAND BAGGING NOT PERMISSIBLE), BAGGING RATE AND NAME OF BAGGING CONTRACTOR PRIOR TO LIFTING SUBJECTS ON FREIGHT FIXTURE. HOWEVER, IF HAND BAGGING IS PERFORMED IN BREACH OF CONTRACT, THE BAGGING RATE TO BE REDUCED TO USD 1.00 PER METRIC TON.  BAGGING CONTRACTOR TO BE SUBJECT TO CHARTERER'S APPROVAL.  BAGGING SUBJECT TO A.I.D.’S BAGGING SPECIFICATIONS DATED JULY 1989, COPIES OF WHICH ARE AVAILABLE AT PACIFIC CARGOES, INC.

DEMURRAGE/DESPATCH IS APPLICABLE AT LOAD PORTS. OWNERS ARE TO SPECIFY THEIR DEM/DES RATES IN THEIR OFFER, DESPATCH RATES MUST BE ONE-HALF OF DEMURRAGE RATES AS QUOTED.

LAYTIME ACCOUNTS ARE TO BE SETTLED DIRECTLY BETWEEN OWNERS AND COMMODITY SUPPLIER(S) AT LOAD PORT(S). LAYTIME CALCULATION, OVERTIME AND TRIMMING TO BE IN ACCORDANCE WITH ADDENDUM NO 1 OF THE NORTH AMERICAN EXPORT GRAIN ASSOCIATION’S FOB CONTRACT NO 2 (REVISED AS OF MAY 1, 2000) CLAUSE NOS 1-10 INCLUSIVE (HEREINAFTER REFERRED TO AS NAEGA) REGARDLESS OF VESSEL TYPE. FURTHER, THE FOLLOWING MODIFICATIONS TO NAEGA WILL APPLY: ANYWHERE THE WORD “BUYER” APPEARS, THE WORDS “VESSEL OWNER” IS TO BE SUBSTITUTED. UNDER NO CIRCUMSTANCE SHALL CHARTERERS OR USDA/CCC BE RESPONSIBLE FOR RESOLVING DISPUTES INVOLVING THE CALCULATIONS OF LAYTIME OR THE PAYMENT OF DEMURRAGE OR DESPATCH BETWEEN THE VESSEL OWNER AND COMMODITY SUPPLIER.  ANY/ALL DISPUTES BETWEEN VESSEL OWNER AND SUPPLIER ARISING OUT OF THE CONTRACT RELATING TO THE SETTLEMENT OF LAYTIME ISSUES SHALL BE ARBITRATED IN NEW YORK
SUBJECT TO THE RULES OF THE SOCIETY OF MARITIME ARIBTRATORS, INC.

VESSEL TYPE RESTRICTIONS: LASH/SEABEE AND TOWED BARGES ARE EXCLUDED.
INTEGRATED TUG/BARGE (ITB) UNITS WILL BE CONSIDERED. TANKERS (U.S. FLAG ONLY) WILL BE CONSIDERED.

FOREIGN FLAG VESSELS SHOULD NOT BE OLDER THAN 20 YEARS AND MUST BE CLASSED HIGHEST IN LLOYD’S REGISTER OR ITS EQUIVALENT – DATE OF ORIGINAL CONSTRUCTION, NOT REBUILT DATE, TO GOVERN. ANY EXTRA INSURANCE ON ACOUNT OF VESSEL’S AGE, FLAG, OWNERSHIP, TYPE, CONFIGURATION OR CLASSIFICATION WILL BE FOR OWNERS ACCOUNT, BUT NOT EXCEEDING NEW YORK MARKET RATES FOR U.S. FLAG VESSELS AND LONDON RATES FOR NON-US FLAG VESSELS. NVOCC’S MAY NOT BE EMPLOYED TO CARRY U.S. FLAG OR FOREIGN FLAG SHIPMENTS.

SPECIAL NOTE 1: SHOULD OFFERED VESSEL BE ENROLLED IN AN INSURANCE PROGRAM THAT NEGATES THE OVERAGE PREMIUM REQUIREMENT, OFFER TO INCLUDE ALL INFORMATION AND CERTIFICATIONS FOR VERIFICATION.

VESSELS MUST HAVE ALL OPENINGS TO CARGO SPACES AND HATCHES’ COVERS TIGHTLY SEALED WITH TAPE OR BY OTHER MEANS TO ASSURE WATER TIGHT INTEGRITY.  THE SEALING SHALL BE DONE TO THE SATISFACTION OF ATTENDING NCB SURVEYOR AS ATTESTED BY A SPECIAL SURVEY.  COST OF SEALING HATCH COVERS/OPENINGS TO CARGO SPACES AS WELL AS SPECIAL SURVEY FEES SHALL BE FOR VESSEL OWNER’S ACCOUNT.  SPECIAL SURVEY CERTIFICATE SHALL IN NO WAY DIMINISH OWNER’S LIABILITY AND RESPONSIBILITIES TOWARD THE CARGO.

ALL DISCHARGE GEAR AND EQUIPMENT NECESSARY FOR THE DISCHARGE OF THE CARGO UNDER THIS CHARTER PARTY, WHETHER ON BOARD VESSEL OR SHORESIDE, IS TO BE SUPPLIED BY OWNER AT OWNER’S EXPENSE AND IS TO BE IN GOOD WORKING ORDER.

RESTRICTION ON USE OF VACUVATORS: SEE PROFORMA CHARTER PARTY CLAUSE 51 FOR FULL DETAILS OF THIS RESTRICTION.

OPENING AND CLOSING OF HATCHES TO BE CARRIED OUT BY VESSEL’S CREW FREE OF CHARGE TO CHARTERERS. MECHANICAL OR HYDRAULIC HATCH COVERS FOR VESSELS OR RAIN TENTS FOR ALL HATCHES ARE REQUIRED.

OWNERS ARE RESPONSIBLE FOR THE VESSEL ARRIVING AT LOAD PORTS WITH AN ACCEPTABLE SAFE ARRIVAL DRAFT. IF VESSEL’S DRAFT EXCEEDS SUCH DRAFT, OWNERS TO BE FULLY RESPONSIBLE FOR ANY AND ALL COSTS INCURRED IN REACHING SAFE DRAFT.

OWNERS ARE ALSO RESPONSIBLE FOR VESSEL ARRIVING AT DISCHARGE PORT WITH AN ACCEPTABLE SAFE ARRIVAL DRAFT AND MEETING ALL NECESSARY PORT/BERTH LIMITATIONS INCLUDING BUT NOT LIMITED TO VESSEL’S DRAFT, IF ANY, IN ORDER TO SAFELY DISCHARGE CARGO AT THE DESIGNATED DISCHARGE (TRANSIT) PORT.  LIGHTERAGE AND/OR LIGHTENING, IF ANY, NECESSARY FOR VESSEL TO MEET SUCH PORT/BERTH LIMITATIONS AT DISCHARGE TRANSIT) PORT IS FOR ACCOUNT OF OWNERS AND SHALL BE PERFORMED IN THE TERRITORIAL WATERS OF THE COUNTRY WHERE CARGO WILL BE DISCHARGED.

IN-TRANSIT FUMIGATION IS REQUIRED FOR THIS CARGO. SEE PROFORMA CHARTER PARTY CLAUSE 39 FOR FULL DETAILS.

OFFERORS SHOULD CONSIDER OFFERING VESSELS TO CARRY A RANGE OF TONNAGES
TO ACCOMMODATE PROGRAM NEEDS.

ANY ADDITIONAL COMPLETION CARGO(ES) MUST BE DULY SEPARATED, MUST BE COMPATIBLE AND NON-INJURIOUS TO WCCU’S CARGO, MUST BE DETAILED IN OFFER OR APPROVED BY WCCU/USDA IF CONTRACTED AFTER FIXTURE OF WCCU CARGO.  VESSEL’S ITINERARY AND GEOGRAPHIC PROXIMITY OF COMPLETION CARGO(ES) WILL BE TAKEN INTO CONSIDERATION BY WCCU/USDA IN APPROVAL OF SUCH PART CARGO(ES) IN ORDER NOT TO UNDULY IMPEDE DELIVERY OF WCCU’S CARGO TO DISCHARGE PORT(S).

CHARTERER RESERVES THE RIGHT UNDER THEIR FOOD FOR PROGRESS AGREEMENT
WITH THE U.S. DEPARTMENT OF AGRICULTURE (USDA) TO ARRANGE MARINE CARGO
INSURANCE TO COVER SHIPMENTS CONTRACTED UNDER THIS IFB IN WHICH CASE USDA WILL NOT BE INVOLVED IN PURSUING CLAIMS OR IN CASES OF GENERAL AVERAGE CONTRIBUTIONS.  CHARTER PARTY CLAUSES 9 AND 44 CONTAIN THE OPTIONAL LANGUAGE THAT WILL BE APPLICABLE DEPENDING ON WHICH OPTION IS CHOSEN BY CHARTERER. CHARTERER WILL ADVISE OWNER WHICH OPTION SHALL BE APPLICABLE PRIOR TO LOADING OF THE CARGO.

OFFERS OF NAMED VESSELS ONLY. NO VESSEL SUBSTITUTION IS PERMITTED WITHOUT WCCU/USDA APPROVAL.

SECTION 408 OF THE U.S. COAST GUARD AUTHORIZATION ACT OF 1998, PUBLIC LAW 105-383 (46 USC, PARAGRAPH 2302(E)), ESTABLISHES EFFECTIVE JANUARY 1, 1999, WITH RESPECT TO NON-US FLAG VESSELS AND OPERATORS/OWNERS, THAT SUBSTANDARD VESSELS AND VESSELS OPERATED BY OPERATORS/OWNERS OF SUBSTANDARD VESSELS ARE PROHIBITED FROM THE CARRIAGE OF GOVERNMENT IMPELLED (PREFERENCE) CARGO(ES) FOR UP TO ONE YEAR AFTER SUCH SUBSTANDARD DETERMINATION HAS BEEN PUBLISHED ELECTRONICALLY.  AS THE CARGO ADVERTISED IN THIS IFB IS GOVERNMENT IMPELLED (PREFERENCE) CARGO, OFFEROR MUST WARRANT THAT VESSEL(S) AND OPERATOR/
OWNER ARE NOT DISQUALIFIED TO CARRY SUCH CARGO(ES).

ONE-WAY RATES MUST BE QUOTED IN ADDITION TO ROUND TRIP RATES FOR U.S. FLAG NON-LINER VESSELS WHOSE DATE OF ORIGINAL CONSTRUCTION EXCEEDS 15 YEARS FROM DATE OF FIXTURE.

APPROVED U.S. FLAG RATES WILL BE REDUCED TO A LEVEL NO HIGHER THAN THE MARITIME ADMINISTRATIONS FAIR AND REASONABLE RATE IN THE EVENT THAT APPROVED VESSEL IS SUBSTITUTED BY A LOWER COST VESSEL TO THE U.S. GOVERNMENT (INCLUDING TUG AND/OR BARGE).

FOR U.S. FLAG VESSELS LOADING LESS THAN A FULL CARGO, THE LESS THAN FULL CARGO RATE WILL BE SUBJECT TO A REDUCTION TO MEET ANY REVISED MARITIME ADMINISTRATION FREIGHT RATE GUIDELINE DUE TO VESSEL LOADING OTHER ADDITIONAL CARGO.
