 SO ELECT TO CANCEL, THE OWNERS SHALL BE RESPONSIBLE FOR ADDITIONAL

 OWNERS DESIGNATED LOAD BERTH MUST PROVIDE A POINT OF REST WITH

 OWNERS WILL BE RESPONSIBLE FOR ANY AND ALL COSTS IN PLACING THE

 EMPTY BAGS ABOARD VESSEL FROM THEIR FAS POINT OF REST (UNDER

 COVER). EMPTY BAGS WILL BE TRANSPORTED ON VESSEL TO DESTINATION(S)

 'FREIGHT FREE'. EMPTY BAGS TO BE CARRIED ON THE SAME VESSEL AS THE CARGO.

 

- NOTE REVISED (C/P) ISM AND ISPS CLAUSE AS FLWS:

 CL. 30. ISM AND ISPS:

 FROM THE DATE OF COMING INTO FORCE OF THE INTERNATIONAL SAFETY MANAGEMENT

 (ISM) CODE AND THE INTERNATIONAL CODE FOR THE SECURITY OF SHIPS AND PORT

 FACILITIES AND THE RELEVANT AMENDMENTS TO CHAPTER XI OF SOLAS (ISPS CODE)

 IN RELATION TO THE VESSEL AND THEREAFTER DURING  THE CURRENCY OF THIS

 CHARTER PARTY, THE OWNERS SHALL PROCURE THAT BOTH THE VESSEL AND ''THE

 COMPANY'' (AS DEFINED BY THE ISM AND ISPS CODE) SHALL COMPLY WITH THE

 REQUIREMENTS OF THE ISM AND ISPS CODE. UPON REQUEST THE OWNERS SHALL

 PROVIDE A COPY OF THE RELEVANT DOCUMENT OF COMPLIANCE (DOC) , SAFETY

 MANAGEMENT CERTIFICATE (SMC) AND INTERNATIONAL SHIP SECURITY CERTIFICATE TO

 THE CHARTERERS.

 EXCEPT AS OTHERWISE PROVIDED IN THIS CHARTER PARTY, LOSS, DAMAGE, EXPENSE

 OR DELAY INCLUDING CONSEQUENTIAL LOSS, CAUSED BY FAILURE ON THE PART OF THE

 OWNERS OR "THE COMPANY" TO COMPLY WITH THE REQUIREMENTS OF ISM  AND ISPS

 CODE SHALL BE FOR THE OWNERS' ACCOUNT.

 

- BULKCARRIERS TO BE SUITABLE FOR INTRANSIT FUMIGATION BY RECIRCULATION METHOD IN

 ACCORDANCE WITH USDA/FGIS REGULATIONS.

 

- SUBSTITUTION OF VESSEL IS NOT PERMITTED WITHOUT CHARTERER'S AND USAID/USDA PRIOR

 APPROVAL. VESSEL SUBSTITUTIONS AS PER RECENT NOTICE TO THE TRADE (DATED OCTOBER

 20, 2009) AND SHOULD BE OF SAME OR SIMILAR TYPE, CLASS AND WITHIN SAME LAYDAYS AS

 THE AWARDED VESSEL. THE PROPOSED SUBSTITUTE VESSEL MUST ALSO APPEAR ON THE

 APPLICABLE MARITIME ADMINISTRATION US OR FOREIGN FLAG VESSEL LIST.

 

- PERFORMING VESSEL TO BE MAX 20 YEARS OLD. ORIGINAL DATE OF CONSTRUCTION (NOT

 RE-BUILT DATE) TO APPLY.

 

- USAID FLAG AND BANNER CLAUSE

 

- VESSEL TO PROVIDE GEARS NECESSARY (AS PER CLAUSE 15 AND 53 TO DISCHARGE ALL CARGO

 (GUIDANCE MIN LIFTING CAPACITY OF 15MT)

 

- IT IS A CONDITION OF THE CONTRACT THAT THE FIXTURE OF ANY PART-CARGO OTHER THAN

 RELIEF CARGO WILL BE SUBJECT TO PRIOR APPROVAL BY WFP. WITHOUT PREJUDICE TO ANY

 DAMAGES THAT WFP MAY CLAIM, FAILURE BY OWNERS TO COMPLY WITH THIS CONDITION WILL

 GIVE WFP THE RIGHT TO TERMINATE THE CONTRACT OR TO IMPOSE ON OWNERS A RATE

 REDUCTION OF USD 10.00 PER CONTRACTED MT, AS LIQUIDATED DAMAGES.

- THIS FREIGHT PROPOSAL, WHETHER SUCCESSFUL OR UNSUCCESSFUL, CONTAINS TRADE

 SECRETS OR COMMERCIAL FINANCIAL INFORMATION WHICH ARE PRIVILEGED AND CONFIDENTIAL

 AND EXEMPT FROM DISCLOSURE UNDER THE FREEDOM OF INFORMATION ACT, 5 U.S.C. SECTION  

 552. FURTHERMORE, THIS INFORMATION IS PROHIBITED FROM DISCLOSURE UNDER THE

 TRADE SECRETS ACT, 18 U.S.C. SECTION 1905.

 CARGOES MENTIONED ABOVE

 

- WFP/USAID RESERVES THE RIGHT TO REQUIRE VESSEL OWNER TO POST A PERFORMANCE BOND.

 

- EXTRA: BELOW 3 NEW CLAUSES TO BE INTEGRATED PART OF THE C/P:

 

1) NAVAL PROTECTION TO VESSELS CARRYING RELIEF CARGO:

   AS PART OF OPERATION ATALANTA LAUNCHED IN SUPPORT OF UNITED NATIONS SECURITY

   COUNCIL RESOLUTIONS 1814, 1816 AND 1838, THE EUROPEAN UNION NAVAL FORCES

   (EUNAVFOR) MAY PROVIDE PROTECTION TO THE VESSEL. IN KEEPING WITH EU/EUNAVFOR

   REQUIREMENTS, IT IS A CONDITION OF THE CHARTER PARTY THAT, IF SO REQUIRED BY

   EUNAVFOR AND/OR WFP, THE OWNERS AND THE MASTER SHALL ALLOW AND FACILITATE THE

   PRESENCE ON BOARD OF EUNAVFOR VESSEL PROTECTION DETACHMENTS (VPDS), SUBJECT TO

   THE CONSENT OF THE VESSEL'S FLAG STATE

 

2) OWNERS GUARANTEE THERE ARE NO DEBTS / DISPUTES ON VESSEL / OWNERS / CREW THAT

   MIGHT HINDER PERFORMANCE OF THIS VOYAGE.  VESSEL TO HAVE ON BOARD ITF BLUE CARD

   OR EQUIVALENT FOR INSPECTION AS REQUIRED

   

3) OWNERS DECLARE TO BE AWARE OF ALL ECONOMIC SANCTIONS LAWS, ANTI-BOYCOTT LAWS

   AND TRADE RESTRICTIONS AGAINST (I) THE SYRIAN GOVERNMENT, (II) SOME IDENTIFIED

   SYRIAN ENTITIES AND INDIVIDUALS, (III) SOME IDENTIFIED SYRIAN BANKS AND (IV)

   SOME IDENTIFIED PRODUCTS ORIGINATED FROM SYRIA, IMPOSED BY THE US, UN, EU AND

   SWITZERLAND, AS MAY BE AMENDED FROM TIME TO TIME.

       

   OWNERS WARRANT TO COMPLY WITH THEM IN ALL RESPECTS RELATED TO THE PERFORMANCE OF

   THIS VOYAGE CHARTERPARTY.

    

   OWNERS SPECIFICALLY WARRANT THAT THEY DO NOT HAVE ANY FINANCIAL OR SHAREHOLDING

   OR COMMERCIAL LINK/RELATIONSHIP WITH (I) THE SYRIAN GOVERNMENT AND WITH (II) ANY

   OF THE ENTITIES, (III) INDIVIDUALS, (IV) BANKS WHICH ARE SANCTIONED BY THE US,

   UN, EU AND SWITZERLAND.

    

   OWNERS SHALL INDEMNIFY CHARTERERS AND HOLD THEM FULLY HARMLESS IN THE EVENT OF

   LOSS OR DAMAGE SUFFERED BY CHARTERERS, THEIR PRINCIPALS OR THEIR AFFILIATES,

   AS A RESULT OF ANY BREACH, WHETHER INTENTIONAL OR NOT, OF THE ABOVE MENTIONED

   ECONOMIC SANCTIONS LAWS, ANTI-BOYCOTT LAWS AND/OR TRADE RESTRICTIONS BY OWNERS.

   

   NOTHING IN THIS VOYAGE CHARTERPARTY IS MEANT TO REQUIRE EITHER PARTY TO TAKE

   ANY ACTION WHICH IS LIKELY TO PLACE IT OR ITS AFFILIATES IN A POSITION OF

   NON-COMPLIANCE WITH, OR IN CONTRAVENTION OF, THE ABOVE MENTIONED ECONOMIC
